Terms of Service

1. Acceptance of Terms

By accessing or using any Fidelis service, website, or application (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, do not use the Services.

These Terms constitute a legally binding agreement between you and Fidelis Solutions Group, LLC, a Maryland limited liability company, on behalf of itself and its affiliated entities (collectively, “Fidelis”). We may update these Terms from time to time; continued use of the Services after any update constitutes acceptance.

2. Description of Services

Fidelis offers a suite of financial, tax, and advisory services through its affiliated entities:

• Tax Services (Fidelis Tax and Accounting): federal and state tax preparation, IRS representation, bookkeeping, and accounting services, subject to applicable professional standards including Treasury Circular 230.
• Lending Brokerage (Fidelis Solutions Group, LLC, in partnership with Fidelis Advisory Services, LLC): introduction and facilitation of business and personal loan applications with third-party lenders. Fidelis Advisory Services, LLC is a loan broker, not a lender, and does not make credit decisions or guarantee financing.
• Wealth Planning (Fidelis Solutions Group, LLC): educational and informational financial and wealth planning. Fidelis Solutions Group, LLC is not a registered investment adviser and does not provide investment advisory, securities, or portfolio-management services.
• Business Advisory and Restructuring (The Phoenix Program): business formation, operational advisory, and restructuring consulting services.
• Bookkeeping Tools: technology-assisted bookkeeping and accounting tools for business clients, provided as a complement to professional services.
• Fidelis Ledger Platform: a client portal providing access to accounts, documents, analytical tools, and communications with Fidelis professionals.

The scope of any specific service is governed by a separate engagement agreement, advisory contract, or service order entered into between you and the applicable Fidelis entity.

3. Eligibility and Account Responsibilities

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use the Services. By using the Services, you represent that you meet these requirements.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at legal@fidelis.tax if you suspect unauthorized access.

4. Not Financial, Legal, or Tax Advice

Content available through the Fidelis platform — including educational tools, calculators, and informational articles — is provided for general informational purposes only and does not constitute personalized financial, tax, or legal advice. Specific advice is provided only through a signed engagement agreement with the applicable licensed Fidelis professional.

Past performance is not indicative of future results. All investments involve risk, including possible loss of principal.

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to any system, account, or data.
• Reverse engineer, decompile, or disassemble any part of the Services.
• Transmit malicious code, spam, or content that infringes the rights of others.
• Misrepresent your identity or affiliation in connection with the Services.

6. Intellectual Property

All content, software, trademarks, and materials available through the Services are owned by or licensed to Fidelis and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. FIDELIS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIDELIS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL FIDELIS'S AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO FIDELIS IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow certain limitations of liability; in such jurisdictions, Fidelis's liability is limited to the fullest extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Fidelis and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your breach of these Terms, or your violation of any law or third-party rights.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction. The arbitration shall take place in Delaware. You waive any right to participate in a class action lawsuit or class-wide arbitration.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us. Termination does not relieve you of obligations incurred prior to termination.
